HRD Forms Cutting-Edge LLC for Nevada Real Estate Investor |
 |
 |
HRD recently formed a cutting-edge LLC, a Nevada Series LLC, for a Nevada real estate investment client.
Nevada allows for the formation of a little known entity that provides for the creation of individual series within an umbrella LLC. This entity type establishes separate liabilities, managers, profits, etc. for each series. The cutting-edge benefit lies in the fact that the liability for each series is limited to that series only and does not extend to the assets of the LLC as a whole. The structure of the series LLC is particularly valuable for businesses that hold multiple properties in their asset portfolio.
HRD partner, Charley Heintz, states that, "this particular entity type provides for more liability protection than a company normally enjoys. By effectively creating an umbrella company with an unlimited number of series, in a single filing, a real estate investor can limit the liability of each property to that property only. This, for obvious reasons, is particularly attractive to companies that hold substantial assets in their portfolios."
HRD represents business clients ranging from established real estate investors to entrepreneur, high-tech web design firms. Our goal is to provide each client with long-term, forward-thinking legal advice so that issues are identified early and addressed before a dispute arises. We can guide your business through the litany of legal issues that will inevitably occur starting with launching a new business to selling an established company.
